In April of this year, the American Bar Association Private Placement Broker Task Force delivered to the SEC and published a recommendation for a limited federal exemption from SEC registration for securities intermediaries that would be able to assist in the private raise of capital for both private and public entities.? The Task Force previously published a lengthy recommendation and even drafted proposed rules, in June 2005, and has been advocating the rules since that time.? The full text of both the April 2012 submission and June 2005 report with proposed rules can be read on the SEC website.

The SEC?s Position and Current Rules on Finder?s Fees

The Securities and Exchange Commission (SEC) strictly prohibits the payments of commissions or other transaction based compensation to individuals or entities that assist in a capital raise, unless that entity is a licensed broker dealer.

Periodically, and most recently in April 2008, the SEC updates its Guide to Broker Dealer Registration explaining in detail the rules and regulations regarding the requirement that individuals and entities that engage in raising money for companies, must be licensed by the SEC as broker dealers.? On a daily basis, hundreds if not thousands, of individuals and entities offer to raise money for companies as ?finders? in return for a ?finder?s fee.?? Such agreements and transactions are prohibited and carry regulatory penalties for both the Company utilizing the finder?s services, and the finders.

Each of the following individuals and businesses are required to be registered as a broker if they are receiving transaction based compensation (i.e. a commission):

  • ?finders,? ?business brokers,? and other individuals or entities that engage in the following activities:
    • Finding investors or customers for, making referrals to, or splitting commissions with registered broker-dealers, investment companies (or mutual funds, including hedge funds) or other securities intermediaries;
    • Finding investment banking clients for registered broker-dealers;
    • Finding investors for ?issuers? (entities issuing securities), even in a ?consultant? capacity;
    • Engaging in, or finding investors for, venture capital or ?angel? financings, including private placements;
    • Finding buyers and sellers of businesses (i.e., activities relating to mergers and acquisitions where securities are involved);
  • investment advisers and financial consultants;
  • persons that market real-estate investment interests, such as tenancy-in-common interests, that are securities;
  • persons that act as ?placement agents? for private placements of securities;
  • persons that effect securities transactions for the account of others for a fee, even when those other people are friends or family members;
  • persons that provide support services to registered broker-dealers; and
  • persons that act as ?independent contractors,? but are not ?associated persons? of a broker-dealer (for information on ?associated persons,? see below).

The SEC has been bringing actions against individuals and entities that violate these provisions and has indicating its intent to widen its enforcement efforts in this area.

An individual or entity may be able to collect compensation for acting as a finder as long as the compensation is not success or transaction based and the finder?s role is limited to making an introduction.? The finder may not participate in negotiations, structuring or document preparation or execution.

An exception is that the federal securities laws do allow company officers, directors and employees to raise capital without being licensed as brokers.? Company officers, directors and employees may engage in capital raising efforts, and receive compensation for their efforts, if such individuals: (i) are not subject to a statutory disqualification such as participation in securities activities for which they have been barred by a regulatory agency; (ii) the compensation is not a commission or other success based fee; (iii) the officer, director or employee performs, or is intended to perform at the end of the offering, substantial duties for or on behalf of the company otherwise than in connection with the offering; (iv) the officer, director or employee was not a broker or dealer, or an associated person of a broker or dealer, within the preceding 12 months; and (v) the officer, director or employee restricts his or her participation to any one or more of the following activities (a) preparing any written communication or delivering such communication through the mails or other means that does not involve oral solicitation by the officer, director or employee of a potential purchaser; Provided however, that the contents of such communication is approved by a partner, officer or director of the company; (b) responding to inquiries of potential purchaser in a communication initiated by the potential purchaser; Provided however, that the content of such responses are limited to information contained in a registration statement filed under the Securities Act of 1933 or other offering document; or (c) performing ministerial and clerical work involved in effecting any transaction.

The ABA?s Recommendation

The ABA is proposing an exemption from full broker dealer registration for what they are calling ?securities intermediaries.?? The ABA recognizes that the term ?finder? carries a negative, if not illegal, connotation and thus the new terminology.? Under the proposal, the securities intermediary would be exempt from full registration for such activities as arranging the purchase and sale of securities in private placements; making introductions to broker dealers and investment bankers; assisting in due diligence; deal structure; valuations and negotiating and obtaining financing.

The exemption, however, is only on the federal level.? The SEC has indicated it would only consider the exemption if state regulators enacted a state registration regime.? That is, securities intermediaries would be exempt from broker dealer registration and registration with the SEC (and therefore with FINRA) but would be required to register on the state level, in each state that they acted as a securities intermediary.? Further, the SEC indicated it would also allow state registered finders or securities intermediaries to be compensated by FINRA members, a practice that is strictly prohibited today.

The ABA Task Force report believes that state registration will allow small companies to legally use intermediaries that are professional and somewhat regulated, to raise capital.? The ABA proposes that the individual states set up a registration process, licensing requirements and procedures and examinations for securities intermediaries/finders.? The SEC has indicated that a precondition would be bad actor qualifications, which is advocated in the ABA Task Force recommendation.

Renters Looking to Own a Home Now - AOL Real Estate

Renters want to buy a homeAmong renters who one day hope to own a home, a poll finds a dramatic increase in the number who now say that they intend to buy in the near future. Offering more evidence of a swing toward homeownership as the housing market continues to recover, the survey by PulteGroup reports that about 6 in 10 of those renters plan on buying a home in the next two years.

That's a 60 percent increase among those potential homebuyers in the past year, PulteGroup reports. "We're definitely seeing a renewed sense of optimism," said PulteGroup spokeswoman Jacque Petroulakis.

The PulteGroup survey's results fit other findings in 2012 that bode well for home prices and sales in 2013, according to Jed Kolko, chief economist of listing service Trulia.

Kolko attributes the reported rise in renters' interest in homebuying to an improved economy, which has helped potential buyers save for down payments, as well as to rising home prices, which have bolstered consumer confidence in the housing market. A Trulia survey conducted in 2012 also showed a significant increase in renters who intend to buy, he said.

The top reasons renters polled in the survey cited for wanting to buy in the near future were:

? They like being able to call themselves homeowners (49 percent).
? They view it as a good financial investment (44 percent).
? They need more space for their family/children (36 percent).

The PulteGroup survey also found that, compared to two years ago, twice as many homeowners now expect to have adult children or aging parents living with them.

Thirty-one percent of respondents to the 2012 survey said that they anticipate at least one adult child moving back home in the future, while 32 percent expect to take in an aging parent.

The demographic shift to multigenerational homes is likely to spark construction of more "smart" homes that break from recent tradition, Petroulakis said. "What's important is that the home is planned smart ... that it really maximizes your communal space."

Extra bathrooms, downstairs bedrooms and large kitchens are examples of features that characterize these homes, she said.

Multigenerational homes share of total households already has swelled over the past decade. They are up by 30 percent between 2000 and 2010, according to the U.S. Census Bureau.

PulteGroup says its survey of renters was conducted online in March 2012 among 506 adults who rent a home or apartment across the United States and intend to purchase a home in the future. The survey on multigenerational housing was conducted online in September 2012 among 511 homeowners across the U.S., ages 35 and older, with children between the ages of 16-30 and among 550 U.S. homeowners, ages 18-65, with living parents. The margin of sampling error is reported as 4.3 percent.

Council of Foreign Relations website hacked

How would you like it if one of your favorite websites were hacked and rigged to infect you with malware??

That's what seems to have happened to the website of the Council of Foreign Relations (CFR), a New York-based bipartisan think tank with a long list of illustrious members.?

The CFR's website was infected around Dec. 21 with a Trojan that exploited a previously unknown, or zero-day, flaw in older versions of Internet Explorer, setting up visitors using IE for a?drive-by download infection.?

"The vulnerability is a remote code execution vulnerability that exists in the way that Internet Explorer accesses an object in memory that has been deleted or has not been properly allocated," Microsoft said in a?security advisory?posted Saturday. "The vulnerability may corrupt memory in a way that could allow an attacker to execute arbitrary code in the context of the current user within Internet Explorer."?

The malware affects Internet Explorer versions 6 through 8. Internet Explorer 9 and 10 are not affected, meaning users of Windows Vista, Windows 7 and Windows 8 can upgrade to those browsers to avoid infection.?

Microsoft is working on a fix, but in the meantime?recommends?that Windows users who cannot upgrade to newer versions of Internet Explorer set their Internet and intranet security-zone settings to "High," to set up alerts before running Active Scripting and to install the free?Enhanced Mitigation Experience Toolkit. [Update: Microsoft has?posted a "fix-it,"?a script that temporarily fixes the problem while the company continues to work on a full patch.]?

Chinese connection??
The CFR website compromise was first reported by the?Washington Free Beacon, a conservative news blog that quoted anonymous sources as saying the attack seemed to originate in China.?

FireEye, a Milpitas, Calif.-based information-security company, confirmed the CFR website was hosting malicious code in the form of a rigged Adobe Flash file.?

In its blog posting,?FireEye noted?that the code associated with the malware also restricted its victims to only systems using English, Russian, Chinese, Korean or Japanese, and that some internal code used simplified Chinese characters, as used on the Chinese mainland.?

Chinese state-sponsored hackers have been suspected in dozens of major information-stealing network attacks on Western governments, corporations and organizations over the past half decade.?

Such attacks are often politely termed "advanced persistent threats," and while most of the evidence points to China, few of the suspicions have been proven.?

Because the CFR is so prestigious and influential, experts characterized its website's hijacking as a?"watering-hole" attack.?

Watering-hole attacks are similar to?spear-phishing attacks?in that they target computers belonging to a specific person or a small group of people, but using Web browsers instead of email clients as the infection mechanism.?

In the case of the CFR, dozens of its prominent members would be ripe targets for state-sponsored information thieves. Former Treasury Secretary and Goldman Sachs head Robert Rubin co-chairs the board of directors, while former U.S. Secretaries of State Madeleine Albright and Colin Powell sit on the board, as do journalists Tom Brokaw and Fareed Zakaria.?

Former secretaries of state Henry Kissinger, George Shultz and James Baker are reportedly lifetime members, as are current Secretary of State Hillary Clinton and her husband, former President Bill Clinton, as well as Hillary Clinton's possible replacement Sen. John Kerry.?

Other lifetime members are said to include Fox News Channel head Roger Ailes, his boss Rupert Murdoch, New York City Mayor Michael Bloomberg, Supreme Court Justice Stephen Breyer, Vice President Joe Biden, former vice presidents Dick Cheney and Walter Mondale and former presidents George H.W. Bush and Jimmy Carter.

Egypt budget deficit expected to widen to 200 bln pounds: agency

CAIRO (Reuters) - Egypt's budget deficit in the year to end-June 2013 could widen by 50 percent from the original forecast made in July, according to a figure released by the planning minister on Monday.

"The budget deficit is expected to rise to 200 billion Egyptian pounds in the current fiscal year unless strict economic policies are put in place to confront it," the state news agency quoted Ashraf al-Araby as saying on Monday.

The 2012/13 budget released in July had forecast a deficit of 135 billion pounds compared to an actual deficit of 166.7 billion pounds for the previous year. Economists at the time said that forecast was optimistic.

President Mohamed Mursi earlier this month suspended a series of planned tax increases as the country prepared for a referendum on a contentious new constitution, which was passed on December 22.

The unpopular measures were deemed necessary to secure $4.8 billion Egypt is seeking from the International Monetary Fund, which wants Egypt to rein in its deficit.

The government said last week it would not implement the measures for at least two more weeks to give it time to explain them to different parts of society.

Prime Minister Hisham Kandil said on Sunday he expected talks with the IMF to resume in January.

Al-Araby predicted in November that this year's deficit would be 10.4 percent of gross domestic product, without stating the figure in pounds, up from the original forecast of 8 percent.
